Terms & Conditions
This guarantee is subject to the following conditions: (i) the competitor's offer must be in writing and must be signed by an authorized representative of the competitor on the competitor’s letterhead; (ii) due to the volatility of the secondary market for settlement payments, a copy of the competitor's written offer must be received by us no later than three (3) business days after the date of such offer; (iii) we shall notify you in writing if we are unable to match the pricing and terms set forth in the competitor's offer; (iv) the guarantee amount shall be due and payable only upon our receipt of written confirmation, satisfactory to us in our reasonable discretion, of your closing of the transaction contemplated by the competitor's offer upon the exact terms contained therein, which closing must occur within one hundred eighty (180) days after the date that you received written notification from us that we can not match the competitor's pricing and terms; (v) our liability under this guarantee shall in no event exceed $500.00; and (vi) the terms of this guarantee shall expire no later than December 31, 2009. This guarantee does not apply to previous quotes or transactions and expires upon signing Stone Street Capital's Sales Agreement.
